Mumbai, April 17, 2025: The Board of Directors of the Company has approved issuance of secured, redeemable, rated, listed, non-convertible debentures of face value of Rs 1,00,000 each (“NCDs”) for an amount aggregating up to Rs1,875,00,00,000 Crore (“Issue” or “Issue Size”), in dematerialized form, through private placement to eligible investors. 

The issuance is structured as PFL NCD Series 'A1' (Rs1,160 crore) and Series 'A2' (Rs215 crore), with an additional green shoe option of Rs500 crore. This fundraise comes at a strategic time for India's financial services sector and demonstrates strong investor confidence in Poonawalla Fincorp's business model and growth trajectory.

The NCDs are proposed to be listed on BSE Limited.

The Obligations under the Debentures shall, till the Redemption Date, be secured by a first ranking pari passu charge on the Hypothecated Properties which is sufficient to provide required Security Cover.

Company shall pay coupon on the NCDs at a rate of 2%

(two per cent) over and above the applicable coupon rate for any delay in payment of interest / principal amount of the NCDs for the period until such event of default is

cured to the satisfaction of the Debenture Trustee (acting on the instructions of the Debenture-holders)
