Mumbai, 14 October, 2026: India’s financial services sector recorded 67 deals worth USD 7.3 billion in Q3 2026, with total deal value rising 129% quarter-on-quarter as transaction volumes increased marginally from 65 to 67. The value-led acceleration was driven by large-ticket M&A activity and public-market issuances, including the IPOs of the National Stock Exchange of India (NSE) and SBI Funds Management. Excluding IPOs and QIPs, M&A and PE/VC activity comprised 58 transactions worth USD 3 billion. The quarter reflected a market in which investor interest remained strong but capital deployment was increasingly selective. While M&A values rose 54% sequentially and public-market fundraising strengthened significantly, PE/VC investments declined in both volume and value. Fintech, banking and NBFCs together accounted for approximately 67% of transaction volumes, underlining continued interest in technology-enabled financial platforms and lending businesses.

Vivek Iyer, Partner, Financial Services Risk Advisory and NBFC Industry Leader, Grant Thornton Bharat commented, “As capital becomes more selective, the ability to translate growth into sustainable returns will increasingly determine which financial services businesses attract investment. In a higher-cost environment, strong funding models, sound unit economics and regulatory resilience will matter as much as the opportunity to scale. India’s financial ecosystem continues to offer significant headroom for growth, but the next phase will reward businesses that can grow sustainably, not just rapidly.”

M&A activity recorded 23 transactions worth USD 2.3 billion in Q3 2026. While volumes declined 4% quarter-on-quarter, deal values increased 54%, driven by Bank of America Corporation’s USD 1.9 billion investment for a 50% stake in Jio Credit Limited, which accounted for approximately 85% of quarterly M&A value. Domestic transactions accounted for 78% of volumes but only 9% of deal value, while three inbound deals contributed nearly 90% of M&A value. Outbound activity moderated from seven transactions in Q2 to two in Q3. In the light of above, deal values remained undisclosed for approximately 48% of M&A transactions.

PE/VC activity moderated to 35 transactions worth USD 736 million, with volumes declining 8% and values falling 44% quarter-on-quarter. PE/VC accounted for 52% of total deal volumes, despite the slowdown. Deals below USD 50 million represented approximately 91% of disclosed PE/VC volumes. The largest investments included NIIF’s USD 182 million investment in NIIF Infrastructure Finance, and USD 100 million each in Slice and Navi Technologies.

Public-market activity strengthened, with seven IPOs raising USD 3.8 billion and two QIPs raising USD 498 million. Combined fundraising of approximately USD 4.3 billion was more than ten times the Q2 total. The NSE and SBI Funds Management IPOs raised approximately USD 2.4 billion and USD 1 billion, respectively, accounting for the majority of capital raised.

1. Fintech: Recorded 30 deals worth USD 722 million, remaining the most active sub-sector by volume.

2. Financial Services and Asset Management: Recorded 18 deals worth approximately USD 4 billion,

led by the NSE and SBI Funds Management IPOs.
